Position: In-House - Corporate Governance Solicitor

Iconic Resourcing is seeking a talented Corporate Governance Solicitor for a prestigious client in Glasgow. This role is part of the client's Legal’s Corporate Governance & Cosec Team, with a key responsibility for advising on corporate governance, legal compliance, internal and external reporting, and company secretarial matters.
Key Responsibilities
- Governance & Sustainability: Advise on and coordinate the implementation of the client’s Governance and Sustainability System. Ensure alignment with the global company model, compliance with UK laws, the UN Sustainable Development Goals, and ESG requirements.
- Legal Advisory: Act as a key adviser to the Head of Legal – Corporate Governance and other members of the legal team, providing commercially driven legal advice and support to the company secretaries and key corporate functions.
- Compliance Management: Manage day-to-day legal and compliance matters, lead, instruct, manage, and coordinate all external legal advisors to facilitate the delivery of corporate governance and cosec objectives efficiently and within budget.
- Organisational Change: Promote the Corporate Governance & Cosec Team as a vehicle for organisational change, growth, and commercial evolution. Ensure legal resources are fully aligned to develop and implement best practice legal processes.
- Corporate Governance: Take responsibility for corporate governance compliance for the group and the implementation and ongoing compliance with group governance processes.
Requirements
- Qualification: Fully qualified Scottish or English Qualified Solicitor.
- Experience: Background in a Corporate, Regulatory, or Compliance environment with hands-on experience in advising, leading, or managing a company secretarial, corporate governance, and compliance unit within a high-value/high-risk concern.
- Skills: Strong working knowledge/experience of advising on corporate governance processes, risk management, audit, and financial/non-financial reporting, including ESG, TCFD reporting, and compliance with the UK Corporate Governance Code.
