Iconic Resourcing are seeking a highly skilled and experienced Senior Assistant Company Secretary. This leadership role involves managing one of the key functions within the Company Secretarial team, directly supporting the Board and Senior Management in all governance activities. The successful candidate will be integral to our succession planning and will rotate in providing second-seat support at Board meetings.
Key Responsibilities:
- Meeting Services: Ensure effective decision-making by providing Company Secretarial services to the Group Risk Committee, Remuneration, and Nomination Board Committees.
- Corporate Governance: Design and implement governance frameworks, financial approvals, and decision-making structures. Provide expert governance advice to the Board and senior leadership.
- Corporate Reporting: Manage the Annual Report project, including drafting the Directors’ Report and overseeing the AGM business.
- Team Leadership: Manage team workloads, provide guidance and support to less experienced colleagues, and deputize for the Deputy Company Secretary as needed.
- Stakeholder Engagement: Build and maintain strong relationships with key stakeholders across the organization and external entities.
Required Skills and Experience:
- CoSec Experience: At a senior level with close engagement with Senior Executives and Board members.
- Listed Company Experience: Experience within a FTSE organization or other listed company.
- Corporate Governance Expertise: Excellent knowledge of Corporate Governance and Listing Rules.
- Project Management: Proven ability to manage and deliver large-scale reporting projects, such as the Annual Report.
- Qualifications: Qualified Chartered Secretary with approximately 10 years of Company Secretarial experience and at least 6 years post-qualification.
- Experience: Extensive experience within a company secretariat function, particularly in listed/international groups. Proficiency in corporate reporting, governance, meeting services, and entity management.
- Technical Skills: Strong understanding of the Companies Act, Listing Rules, Disclosure Guidance, and Transparency Rules.
- Communication: Excellent research, analytical, written, and verbal communication skills.
- Leadership: Strong management and coaching abilities, with a passion for building high-performing teams.
